World Website Service (WWS) ® Terms & Conditions

 

Payment:

Payment will be done partly up in front or as agreed different with our steady clients with longer projects. If the client has unpaid bills, we stop working until the payment is made in full.

We prefer international payments using IBAN / SWIFT payments. The client pays all banking charges (ask more information about the charges at your local bank). Alternatively we can accept a Paypal payment, the costs of Paypal will be charged. All our prices are exclusive Vat.

About the SEO process and dealing with exceptions:

The client should acknowledge, that we or any other SEO company cannot give any guarantees about achieving certain positions. SEO processes take at least 1-3 months to show some significant effect. During this time the client site is analyzed and optimized. Achieving stable high rankings can take up to 12 months and require major investments. During the optimization process, the client site is very likely to drop in rankings and get less traffic from search engines. It is also possible, that the number of sales and rankings will go permanently down.

We, or any other SEO company can’t promise traffic gain, better SERP results or more sales because search engine results are largely affected by many off-page factors which search engines like Google use in their algorithms and other factors beyond control. Normally the end result of the SEO process will be more traffic, better rankings, more sales but as said, no SEO company can promise this or give any guarantee. Given time schedule is purely based on achieved goals of the past and cannot give any guarantee for the future.

In case of argument, the issue is handled within Dutch Market Court which applies the rules of Dutch legislation about bought services and products. Basically this means that IF the bought service does not match contract / TOS, or is by some other way damaged, the client is entitled to a partial refund when the payment is made in full, in case of partial payment (50% in front) the agreement is based on shared risk and no refund can be given.

By ordering or using any of World Website Service (also named as WWS) services, the client is deemed to have accepted these terms and conditions whether or not the client has been provided with a copy.

In these Terms and Conditions “we, our, us, refers to World Website Service. “You” and “Client” refers to WWS Client or buyer of any product or service offered by WWS.

Rejection:

We reserve the right to withdraw any or all services from any client without notice and with immediate effect. In the event of suspending services, it is not our policy to offer a refund of any money paid for services or any part thereof.

Refund policy for website design:

WWS 100% refund policy includes complete refund of the amount if the client is not satisfied with that stage of development. If a prototype has been accepted and the client pays 50% for final development, the prototype fees becomes non-refundable. Before requesting you for the final 50% payment, your project coordinator is supposed to send you a link to review everything on our domain. Once you have reviewed this and you make the complete payment, the same copy of the website will be delivered. The refund cannot be claimed after the website has been delivered.

All domain and registration fees, all products delivered from a third party, are non-refundable, in whole or in part, even if your domain name registration is suspended, cancelled or transferred.

Billing:

WWS will never bill you with hidden or undisclosed charges at any time. All the invoices and payment requests are generated only when the client has previously agreed to pay that particular amount.

E-commerce security: Where projects involves E-commerce functionality, the client must ensure that suitable arrangements are in place to maximize security levels with regard to financial and personal information relating to the users of the project. WWS has a very strict policy of securing the confidential information submitted by client during the process of web design and development. However WWS doesn‘t take any responsibility for leakage or misuse of any information, so far, no claim or complain ever has been submitted to WWS regarding this.

Copyrights & Trade marks: Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to or from WWS for inclusion in the project are owned by client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend WWS and its sub-contractors from any liability (including legal fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the client.

Completion Date:

The client will cooperate to complete the project within the timescale defined in the specification. WWS will inform client on project progress and will always endeavor to meet the defined milestones. WWS cannot be held responsible for any delay due to own mistake, third party mistake or clients mistake. When the delay appears due to a mistake of WWS, 30 days longer then the agreed period, WWS will refund the prepaid amount and cannot be held responsible for any financial or other damage. Client must also supply all source materials to timescale, failure to provide source materials within 30 days of the specified timescale will be sufficient grounds for WWS to cancel the agreement and retain any deposits or stage payments made thus far as cancellation fees.

Abuse through content:

The content/idea/theme of a web site is provided by client. WWS can just help you in actual conceiving the idea. You agree that you will not post any material which is false, defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person’s privacy, or otherwise in violation of ANY law.

Optimization guarantee:

WWS puts every effort to optimize your web site for better ranking in the Search Engines. As clearly explained on our SEO page, WWS doesn’t guarantee any ranking of your web site in any search engine.

Delivery of web site:

Uploading a web site to your hosting account, sending files through FTP, CD or any other media is considered as delivery of web site after which the client is not eligible for a refund. By signing up with WWS, the client agrees that he will clear any balance dues after the web site has been delivered.

Limitation of liability:

WWS will under no circumstance be liable for indirect, special, or consequential damages including any loss of business, revenue, profits, or data in relation to your use of the web site or our services.

In purchasing domain names on behalf of the client, WWS are acting solely as the client’s agent and accepts no responsibility for the continuance or otherwise of that registered domain name.

Charges:

WWS reserves the right to levy extra charges if additional unexpected time is expended on the creation of the site, or loading of the site onto the internet, due to circumstances beyond our control or due to working with material created and/or provided by a third party.

Domain name registration fees, and costs to third parties made for the client are non-refundable once the order has been placed.

Service and Product Rates:

All client orders require an advance payment of a minimum of ten (10%) percent of the project proposal before any work on prototype is started. Thereafter, forty (40%) percent shall be paid before the start of final design and development and the remaining 50 (50%) percent of the client’s order total will be due upon release of the final pages. WWS reserves the right, subject to (30) days advance email notice to the client, to change the rates charged for any ongoing maintenance service provided to the client. WWS must receive the payment prior to final release of the client’s order. In case of SEO work like linking, 50% of the amount will be charged in front. Links that do not meet the client’s satisfaction (as agreed in front and with reasonable grounds) will be changed. The links which don’t match the agreement will be given extra without charge. After completion of the link orders we don’t take any responsibility or guarantee the timescale of placements of the links, as we don’t have control over other webmaster websites, we are unable to provide permanent links.

Acceptance:

Where web site design or other programming services are supplied, the client will notify WWS of any errors or omissions for rectification within a period of 7 days from delivery. After 7 days from delivery, customer is deemed to have accepted that the delivery is provided to an acceptable level of quality and further changes will be chargeable.

Commencement:

WWS cannot always guarantee to start work on web design projects immediately. If this is the case it will be discussed with the client before any work is started. All reasonable efforts will be made to work to client’s time scales.

Backups and Data loss:

Your use of our service is at your sole risk. We are not responsible for any use of our service like files and data residing on your account. You agree to take full responsibility for files and data transferred and to maintain all appropriate backup of files and data stored on our servers.

Cancellation:

WWS reserve the right to cancel an account or agreement at any time.

If the client delays commencement of work for more than 30 days from payment of the deposit WWS reserves the right to make a surcharge to cover additional time and price increases since the original quote.

In the event of a dispute regarding the design of the web site or withheld or late payment WWS reserves the right to withhold or withdraw all web pages and image files until such dispute is resolved.

GOVERNING LAW AND JURISDICTION: This agreement will be governed by the laws of The Netherlands where WWS is seated, and any user of our service hereby agrees to be bound exclusively by the jurisdiction of the Dutch courts without reference to rules governing choice of laws.

WWS reserve the right to change any part of this agreement without notice and your use of our website or our services will be deemed as acceptance of this agreement. We advise users to regularly check the terms and conditions of this agreement. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.
